Terms of Service

These Terms of Service ("Terms") govern your access to and use of Earmark (the "Service"), a personal podcast-intelligence application. By creating an account, joining the waitlist, starting a trial, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The beta program

The Service is offered on a beta, "as-is" and "as-available" basis. Features may change, break, or be removed at any time without notice. We make no guarantee of uptime, availability, data durability, or fitness for any particular purpose. You use the beta at your own risk.

2. Accounts & access

  • Access is granted by invitation, waitlist approval, or an active subscription, at our sole discretion. We may approve, decline, suspend, or revoke access for any reason.
  • You are responsible for activity under your account and for keeping your sign-in method (magic link or passkey) secure.
  • You must be at least 18 years old and able to form a binding contract to use the Service.

3. Your content, library privacy & the community

Your library is private by default.Each account's ingested submissions — and everything the Service derives from them (knowledge cards, transcripts, snips, the concept landscape and synthesis, person rollups, narratives, and saved core memories) — are visible only to the account that created them. Other users, including the demo account, do not have access to your private library, and the Service is designed to keep each account's private content segregated at the data-access layer.

You may publish an individual submission to the public community feed, where it becomes visible to other users; you can return it to private at any time. Once content has been public, others may have seen, copied, or shared it, and we cannot retract those copies. A curated shared reference layer (the directory of people, funds, and concepts, and the watch list) is common to the workspace and is not private to any one user. We aim to protect private content but, especially during the beta, cannot guarantee perfect security or that no data will ever be exposed.

The Service lets you submit links and references to third-party media (for example YouTube videos, podcasts, articles, and social posts) that the Service then transcribes, summarizes, or otherwise processes ("Your Inputs"). You represent and warrant that:

  • you have the right to submit Your Inputs and to have them processed by the Service; and
  • your use of the Service, including any reproduction, summarization, or sharing of third-party material, complies with all applicable laws and the rights of third parties, including copyright and terms of service of the source platforms.

You are solely responsible for Your Inputs and for how you use any output. We do not endorse, and are not responsible for, third-party content accessed through or processed by the Service.

4. AI-generated output is not advice

The Service uses automated and AI systems to transcribe, summarize, attribute, and synthesize content. Output may be inaccurate, incomplete, misattributed, or out of date. Output — including summaries, claims, quotes, price data, fund holdings, and any synthesis — is provided for general informational purposes only and is not financial, investment, legal, tax, or professional advice. Market and filing data may be delayed or wrong. Always verify against the original source before relying on anything. Any decisions you make are your own responsibility.

5. Payments, trials & cancellation

  • Paid plans are billed through Stripe. Current pricing is $4.39 per month or $45 per year and may change for future billing periods.
  • Paid plans may begin with a free trial. You may cancel at any time before the trial ends to avoid being charged. After a trial, the plan renews automatically until cancelled.
  • Except where required by law, payments are non-refundable, and cancelling stops future charges without refunding the current period.

6. Acceptable use

You agree not to:

  • use the Service for any unlawful, infringing, or abusive purpose;
  • attempt to disrupt, reverse engineer, scrape, overload, or circumvent the security or access controls of the Service;
  • resell, sublicense, or expose the Service to third parties without our written permission; or
  • submit content you are not authorized to submit, or use output in a way that infringes a third party's rights.

7. Intellectual property

The Service, including its software, design, and branding, is owned by us and our licensors. These Terms grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your personal use during your authorized access. As between you and us, you retain your rights in Your Inputs; you grant us a license to host and process Your Inputs solely to operate and improve the Service.

8. Disclaimer of warranties

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY OUTPUT WILL BE ACCURATE OR RELIABLE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR INVESTMENT LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR ANY OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50.

10. Indemnification

You agree to indemnify and hold harmless Earmark and its operators from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of Your Inputs, your use of the Service or any output, or your breach of these Terms or of any third-party rights.

11. Termination

We may suspend or terminate your access at any time, with or without notice. You may stop using the Service at any time. Sections that by their nature should survive termination (including Sections 3, 4, and 7 through 12) will survive.

12. Changes, governing law & contact

We may update these Terms from time to time; the "Last updated" date above reflects the latest version, and your continued use constitutes acceptance. These Terms are governed by the laws of the State of Tennessee, USA, without regard to conflict-of-laws rules, and you consent to the exclusive jurisdiction of the state and federal courts located there.
